The following are the terms and conditions of Consultancy and Trading with Palmsprings Solutions Ltd, hereafter known as the (“Supplier”) for the supply of Suppliers goods (“Goods”) or Supply of Professional services to any third party (“Buyer”). No Contract will subsist between the Supplier and Buyer for the sale of any Goods unless and until the Supplier accepts your order by e-mail confirming that it has shipped your product.

The Buyer may make an order for Goods from the Supplier by online order form or by e-mail, facsimile or by means of a postal or telephone order, or order in person at the Buyers premises or other agreed location. The Buyer shall be responsible for ensuring the accuracy of the order. By placing an order for the Goods the Buyer shall be deemed to have accepted these conditions of trade.

To the fullest extent permitted by law, Palmsprings-Solutions Ltd or any of it's affiliates, partners, directors, employees or other representatives will not be liable for damages arising out of or in connection with the use or misuse of any written materials on the site.

This is a comprehensive limitations of liability that applies to all damages of any kind, including (without limitation) compensatory, direct or consequential damages, loss of data, income or profit, loss of or damage to property and claims of third parties.

• Delivery Policy

Delivery of any the Physical Goods or equipment shall be made within 28 days of the Supplier’s acceptance of the Order unless an extended delivery date is agreed between the parties and shall be effected by the Supplier delivering the Goods to the Buyer’s address as notified to the Supplier on the Buyer’s order.

If pursuant to this clause , the parties cannot agree an extended delivery date, the Supplier shall be entitled to cancel the order and refund the purchase price (if already paid). Please Note that any dates quoted for delivery of the Goods are approximate only.

The Supplier shall not be liable for any delay in delivery of the Goods and time shall not be of the essence in these Terms and Conditions. UK delivery and carriage is normally by Royal Mail or Parcel Force or Overland Courier. Overseas delivery and carriage is normally by Air Parcel Force to Europe or Air Freight for most non-European countries.

It is the Buyer's responsibility to check any relevant carriage charge prior to placing their order. Carriage charge is additional to the price of Goods listed. Unused and unopened Goods that do not meet the Buyer's requirement on delivery may be returned to the Seller for credit, excluding carriage charge, within 28 days of delivery. The Buyer shall report any damage to the Goods during transit to the Supplier within four days of delivery. This does not affect your statutory rights as a consumer.

Delivery of digital downloadable products shall be made within 24 hours of the Supplier’s acceptance of the Order unless an extended delivery date is agreed between the parties and shall be effected by the Supplier delivering the Goods to the Buyer’s address as notified to the Supplier on the Buyer’s order.

• Prices and VAT

Any Prices quoted on our web-site are shown inclusive of VAT & exclusive of any carriage. Prices are subject to alteration. However any change in price will be notified to the Buyer prior to the Supplier's acceptance of the order

The Methods of payment are detailed on the web-site or as discussed with individual Clients for Professional Services. Payment for the Goods is always subject to clearance prior to the Supplier dispatching the Goods

• Refunds for Physical Goods or Equipment

The Supplier offers a 30 days return to base warranty on any Physical Goods following the Buyer returning the Goods for reasons of default. In such cases the Supplier shall be entitled to repair, replace or refund such returned Goods free of charge. In addition, the Supplier also offers a 30 days refund warranty on any digital downloadable goods following the Buyer notifyning the Supplier of the Goods for reasons of default. In such cases the Supplier shall be entitled to replace or refund such Goods free of charge. Please note that physical goods refunds excludes administration cahrges and postage and packing, and these will be deducted on refunds.

To the fullest extent permitted at law the Supplier will not be liable for damages arising out of or in connection with the use of this web-site. This is a comprehensive limitation of liability that applies to all damages of any kind, including (without limitation) compensatory, direct, indirect or consequential damages, loss of data, income or profit, of or damage to property and claims of third parties agreement.

• Legal Jurisdiction

These Terms and Conditions supersede any prior agreement between the parties whether written or oral under such prior agreements. These Terms and Conditions shall be governed by and construed in accordance with the laws of England and the English Courts shall have non-exclusive jurisdiction to decide any dispute concerning these Terms and Conditions or the subject matter of these Terms and Conditions. No waiver by Supplier of any breach of these Terms and Conditions by the Buyer shall be considered as a waiver of any subsequent breach of the same or any other provisions.

This Agreement shall all be governed and construed in accordance with the laws of the United Kingdom applicable to agreements made and to be performed in the United Kingdom.
